Responsibilities
- Advise on corporate governance and support the Board of Directors and Committees, including drafting resolutions, minutes, and corporate documentation and generally keep corporate housekeeping.
- Oversee compliance with Spanish corporate and capital markets laws for listed companies.
- Prepare, review, and manage regulatory filings and disclosures before the CNMV, using Workiva and other tools.
- Draft, and review financing agreements, including intercompany loans, credit facilities with financing institutions and other related aspects, such as KYC queries, UBO matters, etc.
- Coordinate legal aspects with other internal areas involved, such as finance, tax, human resources, IR, as well as with external law firms.
- Advise on M&A and financing transactions, including review and preparation of NDAs and a broad variety of agreements.
- Advice in relation to any other matters related to the corporate governance of a listed company, including insider trading, regulatory matters, contractual matters, etc.
- Ensure organized corporate records and efficient document management systems.
Requirements for Candidate
- Licensed to practice law in Spain with at least 6 years of experience.Knowledge of Spanish corporate and capital markets regulation.
- Strong expertise in corporate governance, within a listed company or a law firm advising listed entities or ideally within both.
- Experience managing CNMV filings and regulatory communications, including proficiency in Workiva and other legal reporting tools.
- Experience in strategic transactions (e.g., M&A, financing) and proven ability to draft and negotiate agreements.
- Highly organized, detail-focused, and able to handle multiple priorities.
- Fluent in English and Spanish, with excellent drafting skills.
